Broker Package Agent Training - Course Subscription Agreement
This Online Real Estate Broker Training Course Subscription Agreement (the "Agreement") is entered into by and between Venture 38 LLC, a California corporation, with its principal place of business at 33521 Gene Autry Circle, Yucaipa Ca 92399 (herein after referred to as the "Company"), and the undersigned individual or entity (hereinafter referred to as the "Subscriber"). The effective date of this agreement is as referenced on the signature line of page 3.
1. Services ProvidedThe Company offers an online real estate broker training course (“Escrow Joe’s Real Estate Academy”) as described in the course materials and package details available on the Company's website. The Course includes access to educational content and all accompanying printable and editable resources, as well as optional add-on online weekly agent training sessions. Subscriber acknowledges that the weekly training is not included in the base subscription price and is available for a separate additional monthly fee.
2. Subscription PackagesThe Subscriber may select from a variety of subscription packages, each with a designated number of individual agent specific logins as displayed on the Company’s website.
3. Monthly Subscription FeeIn consideration of facilitating immediate access to the content, we offer the option of a monthly payment arrangement for the subscription packages as an accommodation.This fee amortizes on a monthly basis with no interest or finance charges and shall not be prorated, enabling the broker the ability to gain immediate access and the convenience to pay for the content over time. The Subscriber agrees to pay the monthly subscription fee as indicated on the Company's website at the time of subscription. The fee is due and payable on a monthly basis and will be automatically debited from the Subscriber's provided payment method on the same previously agreed upon day each month.
4. Contract DurationThis Agreement shall have a fixed term of 1 year from the Effective Date (the "Contract Period"). The Subscriber agrees not to cancel the subscription before the Contract Period expires.
5. Cancellationa. Cancellation: The Subscriber understands that this Agreement is a binding commitment for the full contract period of 1 year and is non-refundable or proratable.If the contract is cancelled early or if the auto-pay fails, it’s agreed that the entire unpaid balance is immediately due and payable. Damages for breach of this agreement shall be limited to the balance of the outstanding contract price minus payments made to date of breach with interest to accrue at the legal rate from date of breach. In the event that legal action is taken to enforce this agreement, Venture 38 LLC shall be entitled to reimbursement of attorney fees and any court costs incurred.
6. Content SharingThe pricing of this course is based upon individual access and consumption. The broker acknowledges and agrees to utilize the course solely as designed and only with the agent specific logins as outlined in this agreement. In the event of unauthorized sharing of login credentials or course materials, whether recorded or printed, the subscribing broker shall be held responsible for full reimbursement at the rate of $1,497 per person for each instance of such unauthorized sharing. Subscribing brokers and agents are strictly prohibited from live streaming, group watching, or sharing any course content in any way, manner, or form. All course materials, whether in video, written, or any other format, are for individual use only. The course content is confidential and proprietary, and access is granted exclusively to the agent whose login credentials are provided. Unauthorized sharing, distribution, or access by any other individual is strictly prohibited. Subscribing brokers and agents acknowledge that any violation of these terms, including sharing login credentials or course materials, will result in immediate termination of access, and the subscribing broker will be held responsible for any associated costs or damages. Any such violation of this content sharing prohibition shall be deemed an immediate breach of this contract and shall accelerate the subscribers obligation to pay the entire outstanding balance due plus interest at the legal rate on the unpaid balance. This remedy shall be an addition to any other remedies available for violation of this clause.
7. Copyright InfringementIn the event of copyright infringement by any user of this course, we reserve the right to take appropriate legal action, including but not limited to pursuing damages, injunctive relief, and legal fees. Additionally, the infringing user's access to the course will be terminated immediately without refund. By accessing, providing access, and using this course, you agree to abide by all copyright laws and respect intellectual property rights.
8. Governing LawThis Agreement shall be governed by and construed in accordance with the laws of California. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of San Bernardino County, California.
9. Entire AgreementThis Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. This agreement is a legally binding contract between Subscriber and Company. This agreement may only be conditioned or modified by further written agreement, signed and dated by the parties here to.
10. AmendmentsNo amendment or modification of this Agreement shall be valid or binding unless it is in writing and signed by both parties. It is agreed that there are no other oral agreements or understandings that are in conflict with this agreement.
11. SeverabilityIf any provision of this Agreement is held to be invalid, illegal, or unenforceable under any applicable law, such provision shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.
12. AcceptanceBy signing below, the Subscriber acknowledges that they have read, understood, and agreed to all the terms and conditions outlined in this Agreement.
